A. Corus Entertainment was created from the media assets of Shaw Communications Inc. Corus became a separate and distinct, publicly traded corporation in September 1999. There is no formal ownership or control relationship between Corus Entertainment and Shaw Communications. The Shaw family holds the majority of voting shares in both companies. Shaw Cable is one of Corus Entertainment’s largest customers.

A. Of the 10 Board members, only John Cassaday, the President and Chief Executive Officer of the Company, and Heather Shaw, the Executive Chair, are inside directors. One of the eight outside directors is a related director. In fiscal 2007, the Board considers Julie Shaw, an employee of Shaw Communications Inc. and daughter of JR Shaw, to be a related director. Effective October 11, 2006, the Board, after discussions initiated by Ronald Rogers, considered him, on an interim basis, to be a related director. Effective May 24, 2007, the Board, after discussions initiated by Ronald Rogers, confirmed that he was again considered to be an unrelated director.
